CONTRACT

• An independent relationship between the client and Wedigital India will be established and no third or external party will be involved.
• Anyone who is not a party will not be involved in the contract.
• A monthly report will be shared from time to time to the client stating performance goals.
• Contract date shall be agreed upon by the client as well as Wedigital India to avoid any confusion.
• We offer the best practices in the industry but if a client does unethical practices that may violate our guidelines and policies, will immediately result in termination of the contract. Unacceptable practices like pornographic/sexually explicit/offensive material, language that may harm someone, hacking, distributing internet viruses, phishing, scams, fake documents and unlawful activities etc. are strictly prohibited.

CLIENT OBLIGATION

• The client shall cooperate with Wedigital India in all aspects of services and ensure to provide correct and authentic information as and when required to us.
• Ensure that the material and information provided is original and if it is been taken from a source, the client has permission from the legal owner to share it on their behalf.
• The client should acknowledge the fact that any late information delivered to us will impact our working in delivering the services. If this happens, Wedigital India will not be liable for any loss or charges to be paid for such delay of information.
• Any charges or losses incurred due to the clients fraudulent activity or negligence of performance for delay in work under the contract, the client will indemnify Wedigital India against such losses.

FEES

• The client will pay all the fees and charges as discussed in the quotation and all charges are exclusive of VAT.
• If invoices are not paid with immediate effect of the contract, Wedigital India has the right to desist on a project until payment has been made.
• Any additional work given by the client that is not mentioned in the quotation will be borne by the client additionally at the rates mentioned by us.
• If a client feels that the service provided does not conform to their description, then they can intimate us within 3 days of receiving it. If no communication is being done, Wedigital will deem to accept and confirm the description provided.
• The client agrees that we reserve the right to make changes in our fee rates at any time, provided that such changes will happen only once in a year and will announce the changes one month prior to the increase. If anyhow, the client doesn’t want to accept the increase, then he can terminate the contract by giving 3 months’ notice.
• Wedigital India has the right to suspend all services until full payment has been done.

WEBSITE DESIGN AND DEVELOPMENT

• Wedigital India will develop website as per the needs and requirements of the client. All the payments must be done before the website going live. If the payment hasn’t been done then Wedigital has the right to suspend all the provided services.
• Once we have been paid in full, the client if feels, can intimate to modify or make changes in the website within 3 days of the website development. After that no changes will be made.

PRIVACY RIGHTS

• All the personal information provided by the client will not be shared with any third party and will remain confidential with us.
• Wedigital India will take all necessary precaution to prevent the misuse of any personal data from our website.
• Some of the third parties post adds on our website may use cookies to gather information from you but in no way can give them access to our client’s personal information.

FORCE MAJUERE

• Neither the client nor Wedigital India will be under the obligation in the event of unavoidable circumstances that are beyond control. Such elements include inability to procure materials or technical failures.

WEBSITE HOSTING

• Payment of web hosting should be done in advance. Wedigital holds the right to deactivate the clients’ website if hosting or maintenance fees has not been paid timely. We can charge a nominal amount for reactivating the same.
• The client understands that in the event of unforeseen situations that are beyond control, website hosting may not be available in those times.
• We engage third parties for hosting of websites and have no liabilities with respect to the same. Any issue or a claim relating to the hosting will be provided to the client.

SEO AND PPC( PAY PER CLICK) SERVICES

• The services exclude any ongoing PPC and SEO, only initial SEO setup and PPC would be provided.
• We do not guarantee and specific or higher placements with regard to search engine outcomes. We can only help in positioning the search engine results.
• Wedigital has no control over the policies of the websites or the type of content they approve and rank their websites in near future or present.

INTELLECTUAL PROPERTY RIGHTS

• All intellectual property rights, materials and deliverables belong to Wedigital India.
• If a client wishes to use property rights or deliverables of the company then he has to obtain permission in writing stating the purpose of the same. Any invoice that becomes overdue will immediately result in the termination of the contract.

DATA PROTECTION

• The client agrees to comply with all the necessary obligations under the Data protection Act 1998. Client agrees that Wedigital India will be a data processor under the same Act.

TERMINATION OF CONTRACT

• Anyone of the party with no liability to each other can terminate the contract with a written prior notice of at least 4 weeks.
• If the client or party is unable to pay debts in accordance to Section 123 of the Insolvency act 1986.
• If a petition/ resolutions are passed in the court or the other party is winding up its business other than for the purpose of solvent amalgamation with the other party.
• In the event of termination for what so ever reasons, the client is liable to pay Wedigital India all the outstanding dues and invoices offered for.
